This Agreement states the terms and conditions that govern the contractual agreement between Q Gates consultancy having his principal place of business at [Doha, Qatar], The First Party, and Second Party AAMER FOR DELIVERY SERVICES LLC having its principal place of business at [Doha, Qatar], (the “Second Party”) who agrees to be bound by this Agreement.

Sides of Contract

Support

Support means the system works fine, additional items or features will be discussed by both, first and second party about time and All systems have 10 days additional of time table (Table 3) for check by a second party, all changes and feedback should be provided during these 10 After 10 days any changes will have an extra charge.

Confidentiality

First Party is not allowed to share proprietary data and information produced by first party or second party to any third party or any other All the information relating to or formed as a result of this contract should be fully confidential.

Conditions

Any additional information that is needed by this contract same as Host, Domain, Developer Account, SMS Panel, Online Payment Gateway, … should be provided by Second party. Starting Date of Contract is one day after first First Party should provide the concept and UI of Second party should check and confirm the UI during 3 days, after 3 days without confirmation, for each day, 3 days will be added to the contract time After one week without confirmation means contract is cancelled by second party, so First party will have the payment. Second Party should give all information, forms, workflows, and anything that is related to contract process… to First All details about the contract should be prepared and provide to First party at the start of project. Any delay about providing information, documents, forms, workflows, … will add the time of Contract (number 4,5). Data Entry is not part of this First party is not responsible about contents of website or mobile application. Second party is not allowed to upload illegal content in website such as sexual content or nude images… . First party has right to use second party Logo as First Party has right to Add First Party Company Name In the footer Of second Party Website During the maintenance First Party is not responsible about third party issues like Down time of Server, security of Bank payment gateway, Attack to server, hacking mail server or any other same third party issues. Second Party should confirm user interface of website which is provided by First Party, so after confirmation of User Interface and concept, changing is not possible in this contract. First Party is responsible to keep the application running without any bug or development issues. All The Hardware Provided On this Contract By First Party will Have 1 Year warranty From installation WARRANTY COVERS NORMAL USE ONLY Each of Legacy Electronics’ Warranties covers defects arising under normal use only and do not include malfunctions or failures resulting from misuse, abuse, neglect, alteration, problems with electrical power, usage not in accordance with product instructions, acts of nature or improper installation or repairs. Warranty coverage requires proof of purchase documentation (invoice or packing slip). the Serial of the Devices which is on the motherboard shall be Available in the First Party system. All the Software Provided on this contract will have annually charge for support and Annually Hosting charges if the hosting is Provided by the first software's annually charge will be 20% of software's total amount. hosting annually charges will mention on the Modules if available. All information and data developed by second party as a result of sales shall be owned by the second party. Second Party should confirm Total system or website and movbile application which is provided by First Party, so after confirmation of concept, changing is not possible in this contract.
